Terms of sales of the website WWW.AIMYFRIEND.COM

1. DESIGNATION

Machine Learning Lab EURL is a computer training and consulting firm specializing in artificial intelligence. Headquarters: 4 Square Auguste Chabrières, 75015 Paris, France – Registration number: 842 107 674 RCS Paris – VAT number: FR35842107674 – APE code: 6202A – Training body registered under N ° 11755973675 with the prefect of the region of Ile-de-France.

Machine Learning Lab designs, develops and delivers, alone or in partnership, intra-company, inter-company and individual training courses, which are offered under the “IA C’EST MON DADA” brands in France and “AI IS MY FRIEND” in internationally, and marketed on the sites www.iamondada.com and www.aimyfriend.com in face-to-face and / or online versions.

In the following paragraphs, it is agreed to denote by:

Client: any natural or legal person who registers for or places an order for “IA C’EST MON DADA” or “AI IS MY FRIEND” training, either directly from Machine Learning Lab EURL, or through the sites www.iamondada .com and www.aimyfriend.com

Participant: the natural person participating in a training course.

Inter-company training (s): training designed by Machine Learning Lab, alone or in partnership, marketed under the brands “IA C’EST MON DADA” or “AI IS MY FRIEND”, and which bring together Participants from different structures.

Intra-company training (s): tailor-made training courses designed by Machine Learning Lab, alone or in partnership, and marketed under the “IA C’EST MON DADA” or “AI IS MY FRIEND” brands, on behalf of ‘a customer.

Specific training (s): training designed by Machine Learning Lab, alone or in partnership, marketed under the brands “IA C’EST MON DADA” or “AI IS MY FRIEND”, and which bring together participants who register via the websites www.iamondada.com or www.aimyfriend.com or via the email address info@iamondada.com

Training (s): generally refers to one and / or the other of the Training described above.

GTS: the general terms of sale, detailed below.

2. OBJECTThese general conditions of sale apply to all Training services undertaken by Machine Learning Lab, under the brands “IA C’EST MON DADA” and “AI IS MY FRIEND”, on behalf of a Customer. The fact of registering or placing an order implies the Customer’s full and unreserved acceptance of these T & Cs. These T & Cs prevail over any other Client document, and in particular over all the Client’s general purchasing conditions.FINANCIAL CONDITIONS, REGULATIONS AND TERMS OF PAYMENT

   Unless otherwise indicated, all prices are indicated in euros and excluding taxes. They must be increased by VAT at the rate in force.

   In exceptional situations, a payment may be made in installments. In any case, these modalities must have been formalized before the first day of the Training.

    

   A) INDIVIDUALS

   Payment for the Training takes place online the day before the training at the latest.

   As a training organization, Machine Learning Lab, exempts from VAT the price of Training sold to private customers.

    

   B) COMPANIES

   Any training started is due in full. Invoices are payable in euros, 30 days from the date of invoice, without discount and payable to Machine Learning Lab. In the event of late payment, in accordance with article L441-6 of the Commercial Code, late payment interest will be payable at the rate of 12% per year, i.e. 1% per month, as well as a lump sum compensation for recovery costs. from 40 €.

These penalties are payable as of right, upon receipt of the notice informing the Customer that they have been debited.

Machine Learning Lab nevertheless reserves the right to claim additional compensation, upon justification, when the costs actually incurred exceed this amount.

If the Customer’s support agreement does not reach Machine Learning Lab at the latest one working day before the start of the Training, Machine Learning Lab reserves the right to refuse the Participant’s entry into training or to invoice the all costs for Customer Training.

1) AS PART OF INTER-COMPANY TRAINING

Payment for the price of the training is to be made at the end of the Training, upon receipt of the invoice, in cash, without discount, to the order of Machine Learning Lab. In the event of a long journey, intermediate billings may be incurred. Any sum not paid when due entails as of right and without prior notice, the application of penalties in an amount equal to one and a half times the legal interest rate. Machine Learning Lab will have the option of obtaining settlement by litigation at the Customer’s expense without prejudice to other damages that may be due to Machine Learning Lab.

2) AS PART OF INTRA-COMPANY TRAINING

A commercial and financial proposal will be established beforehand by Machine Learning Lab. Payment for the Training is due upon receipt of the Invoice.

Any sum not paid when due entails as of right and without prior notice, the application of penalties in an amount equal to one and a half times the legal interest rate. Machine Learning Lab will have the option of obtaining settlement through litigation at the Customer’s expense without prejudice to other damages that may be due to Machine Learning Lab.

3) In the context where several Trainings are planned for the same Client, the payment of the different invoices is due as they are issued, as the Trainings progress.

In the event of non-payment in full of an invoice that is due, after formal notice remains ineffective within 5 working days, Machine Learning Lab reserves the right to suspend any current and / or future training.

4. DEDICATION AND REPLACEMENT OF A PARTICIPANTIn the context of inter-company training, in the event of withdrawal notified by the Customer to Machine Learning Lab at least 7 days before the start of the training, Machine Learning Lab offers the Customer the possibility of: 

   – postpone the registration of the Participant for subsequent training,

    

   – replace the disabled Participant with another participant with the same profile and the same training needs.

    

   In the context of intra-company training, the Client may at any time before the start of a training course replace one participant with another.

5. CANCELLATION, POSTPONEMENT, ABSENCE OR INTERRUPTION OF A TRAININGA) INDIVIDUALS

   In the event of cancellation notified by the Customer to Machine Learning Lab at least 7 days before the start of the Training, Machine Learning Lab offers the Customer the possibility of:

    

   – reimburse it in full

    

   – postpone the registration of the Participant for further training, at the discretion of Machine Learning Lab.

    

   Any Training started by the Participant is due in its entirety and is invoiced to the Participant by Machine Learning Lab. In the event of absence or interruption due to circumstances beyond the control of the Participant and upon supporting documentation, Machine Learning Lab will offer to participate in a subsequent session, at the discretion of Machine Learning Lab.

    

   B) COMPANIES

   1) AS PART OF INTER-COMPANY TRAINING:

   Any Training started is due in full and will be invoiced to the Customer directly by Machine Learning Lab. In the event of cancellation of the Training by the Customer, Machine Learning Lab reserves the right to invoice the Customer directly for cancellation fees calculated as follows:

    

   – if the cancellation occurs more than 15 working days before the start of the Training: no cancellation fees

    

   – if the cancellation occurs less than 15 working days before the start of the Training: the cancellation fees are equal to 100% of the price excluding VAT of the Training

    

   – these costs are due as of right and without prior notice. Machine Learning Lab will have the option of obtaining settlement by litigation at the expense of the Customer.

    

   2) AS PART OF INTRA-COMPANY TRAINING:

    

   Any cancellation by the Customer after written acceptance (incl. Agreement by e-mail) and / or signature of a quote, must be clearly communicated in writing.

    

   Machine Learning Lab will invoice a fixed price of € 2,500 excluding tax for preparation work unless the Training is postponed within 2 months of the date initially scheduled for the Training, for any cancellation communicated by the Client less than 21 calendar days before the session of Training, 100% of the amount of the Training will be invoiced by Machine Learning Lab to the latter.

6. HOURS AND RECEPTION

   Each Training is presented on a dedicated page of the site www.iamondada.com and www.aimyfriend.com with the duration and the method of participation in person and / or online.

   A registration confirmation email sent to the Participant indicating all the practical details.

   For face-to-face training, unless otherwise indicated in the invitation sent by email to Participants, the daily duration is set at eight hours, from 9 a.m. to 1 p.m. and from 2 p.m. to 6 p.m. with a lunch break of 1 hour. The place (generally in Paris), address and times are indicated in the confirmation email.

7. STAFF AND ADJOURNMENT

   To promote the best learning conditions, the size of each Training is limited. This number is determined, for each training, according to the objectives and teaching methods.

    

   A) INDIVIDUALS

   Machine Learning Lab reserves the right to cancel a Training no later than the day before the scheduled date if the number of Participants is insufficient to ensure good learning conditions. In this case, Machine Learning Lab will offer to participate in a later session or refund Customer’s payment in full.

    

   B) COMPANIES

   1) AS PART OF INTER-COMPANY TRAINING:

   Registrations are taken into account in their order of arrival. The issuance of a quote does not constitute a registration. Only quotes duly completed, dated, stamped, signed and marked with the words “Good for agreement”, returned to Machine Learning Lab have contractual value. Once the membership is reached, registrations are closed. Machine Learning Lab can then suggest that the Participant participate in a new session or be placed on a waiting list.

    

   In the event that the number of participants is insufficient to ensure the smooth running of a training, Machine Learning Lab reserves the right to postpone the training without compensation.

    

   2) AS PART OF INTRA-COMPANY TRAINING:

   Unless otherwise agreed, Machine Learning Lab provides 1 mentor for 12 participants per training day.

    

   If the number of Participants should be lower than that initially planned and if the Client consequently requests a reduction in the number of mentors agreed in the accepted estimate and if this request was communicated by the Client less than 21 calendar days before the Training session , Machine Learning Lab reserves the right to invoice the number of mentors initially planned.

8. QUOTE
   For each funded training action, a quote is sent by Machine Learning Lab to the Client. A copy duly completed, dated, stamped, signed and bearing the words “Good for agreement” must be returned to Machine Learning Lab by any means at the Customer’s convenience: postal mail, fax, email.
9. OBLIGATIONS AND FORCE MAJEURE
   As part of its training services, Machine Learning Lab is bound by an obligation of means and not of result vis-à-vis its Customers or Participants. Machine Learning Lab cannot be held responsible to its Customers or Participants for non-performance of its obligations resulting from a fortuitous event or force majeure. Are considered here as fortuitous event or force majeure, in addition to those usually recognized by case law: illness or accident of a worker or a pedagogical manager, strikes or social conflicts outside Machine Learning Lab, natural disasters , fire, disruption of telecommunications, power supply, or transportation of any kind, or any other circumstance beyond the reasonable control of Machine Learning Lab.
10. INTELLECTUAL PROPERTY AND COPYRIGHT
    All of the presentation sheets, content and teaching aids whatever their form (paper, electronic, digital, oral, etc.) used by Machine Learning Lab to provide training or given to Participants constitute original works and as such are protected by intellectual property.
    As such, the Client and the Participant and any third party having access to these materials (training organization, consulting agencies, Machine Learning Lab partners, in particular, without this list being exhaustive), refrain from using, transmitting, reproducing , use or transform all or part of these documents, without the express agreement of Machine Learning Lab. This prohibition relates, in particular, to any use made by the Client and the Participant for the organization or facilitation of Training.
    Machine Learning Lab grants the Client and the Participants a non-exclusive, non-transferable and non-transferable license to use its content after the Training.
    As part of a Machine Learning Lab commitment to the environment, the materials provided for the Training sessions are paperless materials.
11. DESCRIPTION AND PROGRAM OF TRAINING
    The contents of the programs, as they appear on the Training presentation sheets, are provided for information only. The facilitator or the educational manager reserves the right to modify them according to the news, the level of the participants or the dynamics of the group.
12. CONFIDENTIALITY AND COMMUNICATION
    Machine Learning Lab, the Client and the Participant undertake to keep confidential the documents and information to which they may have access during the training service or during the exchanges that took place prior to registration, in particular all elements appearing in the proposal sent by Machine Learning Lab to the Customer.
    Machine Learning Lab undertakes not to communicate to third parties other than the partners with whom the training is organized, the information transmitted by the Customer, including information concerning the Participants.
    However, the Client agrees to be cited by Machine Learning Lab, including the communications of the brands “IA CEST MON DADA” and “AI IS MY FRIEND”, as a client of its training sessions unless expressly stated otherwise. To this end, the Customer authorizes Machine Learning Lab to mention its name, its logo as well as an objective description of the nature of the services in its lists of references and proposals for the attention of its prospects and customers, interviews with third parties, communication (including social networks), activity reports, as well as in the event of legal, regulatory or accounting provisions requiring it.
13. PROTECTION AND ACCESS TO PERSONAL INFORMATION
    The Client undertakes to inform each Participant that:
    – personal data concerning him is collected and processed for the purposes of monitoring the validation of the Training and improving the Machine Learning Lab offer.
    – in accordance with Law No. 78-17 of January 6, 1978, the Participant has the right to access, modify or rectify personal data concerning him. 14. APPLICABLE LAW AND COMPETENT JURISDICTIONThe general conditions detailed in this document are governed by French law. In the event of a dispute arising between the Client and Machine Learning Lab EURL on the occasion of the interpretation of these presents or the execution of the contract, an amicable solution will be sought. Otherwise, the Courts of Paris will have sole jurisdiction to settle the dispute.
